1. Agreement to these Terms
These Terms of Service (“Terms”) govern your access to magnesco.com and services owned and operated by Magnesco Ltd. Co., an Oklahoma limited liability company, including Keynect (collectively, the “Services”). By accessing or using the Services, you agree to these Terms and any product-specific rules presented to you. If you do not agree, do not use the Services.
2. Eligibility
You must be at least 13 years old to use the Services and legally capable of entering this agreement. If you are under the age of legal majority where you live, a parent or legal guardian must review and agree to these Terms where required. Additional age restrictions may apply to specific features.
3. Accounts and security
Your Magnesco account is the identity used to access Keynect. You agree to provide accurate information, protect your credentials, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account except to the extent caused by our breach of obligation. We may require verification or restrict access to protect users and the Services.
4. User content and ownership
You retain ownership of content you create and submit. By submitting content, you grant Magnesco Ltd. Co. a non-exclusive, worldwide, royalty-free license to host, store, reproduce, modify for technical formatting, transmit, display, and distribute that content only as reasonably needed to operate, improve, secure, promote within the Services, and provide the features you choose. This license ends when content is deleted from active systems, subject to reasonable backup, legal, safety, and shared-content retention.
5. Your responsibilities
You must have the rights necessary to submit your content. You may not use the Services to harass, threaten, exploit, or abuse others; impersonate a person or organization; publish illegal or infringing content; facilitate crime; distribute spam, malware, or deceptive material; bypass security or access controls; scrape or automate access without permission; manipulate engagement; or interfere with the Services.
6. Community rules and moderation
Keynect may apply community rules intended to keep local spaces useful and safe. Magnesco Ltd. Co. may review reported content, remove or limit content, reduce feature access, or suspend or terminate accounts when we reasonably believe conduct violates these Terms, applicable rules, law, or creates risk. Moderation is necessarily contextual and is not a promise that every item will be reviewed or removed.
7. Intellectual property
The Services, software, designs, text, and branding provided by Magnesco Ltd. Co. are owned by Magnesco Ltd. Co. or its licensors and are protected by applicable law. Keynect is a product owned and operated by Magnesco Ltd. Co. These Terms do not grant permission to use Magnesco or Keynect marks, copy the software, or create derivative services except as expressly permitted in writing or by law.
8. Service changes
We may add, modify, suspend, or remove features and may update these Terms. Services may experience interruptions or be discontinued. Material changes will receive notice when appropriate, and continued use after an effective update constitutes acceptance to the extent permitted by law.
9. Third-party services
The Services may rely on or link to third-party platforms such as app stores, authentication, hosting, maps, or other providers. Their services and terms are separate from ours. Magnesco Ltd. Co. is not responsible for third-party services except to the extent required by law.
10. Service availability and termination
We work to keep the Services useful and available but do not guarantee uninterrupted or error-free operation. You may stop using the Services at any time and may request account deletion through Support. We may suspend or terminate access for violations, security risk, legal requirements, nonpayment where applicable, or discontinuation. Provisions that by nature should survive termination will survive.
11. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” Magnesco Ltd. Co. DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that community content is accurate, that the Services will always be available, or that defects will always be corrected. Nothing in these Terms excludes warranties that cannot legally be excluded.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Magnesco Ltd. Co. AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF DATA, PROFITS, GOODWILL, OR OPPORTUNITY ARISING FROM THE SERVICES.
13. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Magnesco Ltd. Co. and its personnel from third-party claims arising from your unlawful use of the Services, your content, or your material violation of these Terms. This obligation does not apply to the extent a claim results from Magnesco Ltd. Co.’s own conduct.
14. Disputes and Oklahoma law
These Terms are intended to be governed by Oklahoma law, without regard to conflict-of-law principles, except where another law must apply. Nothing here limits non-waivable consumer rights.
15. General terms
If a provision is unenforceable, the remaining provisions will continue to apply and the affected provision will be enforced to the maximum lawful extent. Failure to enforce a provision is not a waiver. You may not transfer your rights under these Terms without our consent; Magnesco Ltd. Co. may transfer these Terms in connection with a reorganization, financing, merger, or sale, subject to law. These Terms and incorporated notices form the agreement concerning the Services.
